This is a general Terms & Conditions template for a SaaS platform operated from Pakistan and made available to customers in Pakistan and internationally. It is provided for general use and does not constitute legal advice. Khirdo Technologies recommends having these Terms reviewed by a licensed lawyer for your specific circumstances before relying on them.

1. Who We Are & What This Agreement Covers

These Terms & Conditions ("Terms") are a binding agreement between Khirdo Technologies ("Khirdo", "we", "us", "our"), a technology service provider based in Pakistan, and the person or business ("Customer", "you", "your") registering for or using the Khirdo platform, including manage.khirdo.com, any subdomain of khirdo.com issued to you, and related applications, APIs, and services (collectively, the "Service").

By creating an account, checking the agreement box on our signup page, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. Nature of the Service

Khirdo provides software-as-a-service tools (including ERP, accounting, HR, and related business software) that you configure and use to run your own business. Khirdo is a software and hosting provider only. We build, host, and maintain the platform; we do not operate your business, prepare your accounts, file your taxes, or make business decisions on your behalf.

Any templates, default settings, or sample configurations provided within the Service are starting points only and must be reviewed and configured by you (or your own accountant/tax advisor/legal counsel) to suit your business and to comply with applicable law.

All business data you or your users enter into the Service — including customer records, invoices, financial data, tax figures, employee data, and any other content ("Customer Data") — belongs to you. You act as the data controller for Customer Data; Khirdo acts only as a data processor/host providing the infrastructure to store and process it, as described in our Privacy Policy.

You are solely responsible for:

Khirdo does not review, verify, or take responsibility for Customer Data or for decisions made using it. The Service is a tool; you remain in control of and responsible for your business and its compliance obligations.

You agree not to use the Service to:

7. Intellectual Property

The Service, including its software, design, and underlying technology, is owned by Khirdo Technologies and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. No ownership rights in the Service are transferred to you.

8. Third-Party Services

The Service may integrate with or rely on third-party providers (e.g. payment gateways, email/SMS providers, cloud infrastructure). Khirdo is not responsible for outages, errors, or actions of third-party providers, though we will make reasonable efforts to work with alternatives where needed.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by law, Khirdo Technologies, its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service, even if advised of the possibility of such damages.

Where liability cannot be excluded, our total aggregate liability for any claim arising out of or relating to the Service shall not exceed the total fees paid by you to Khirdo in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Khirdo Technologies, its owners, employees, and affiliates from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Customer Data you enter or process; (c) your breach of these Terms; or (d) your violation of any law or third-party right.

Khirdo is not liable for delays or failures in performance resulting from events beyond our reasonable control, including internet/power outages, natural disasters, government action, or third-party infrastructure failures.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Pakistan.

16. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Khirdo regarding the Service.
